These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Do You Need One, LLC, operating as UrbanPlanning.app (“Company,” “we,” “us,” or “our”). By creating an account, accessing, or using the Service at urbanplanning.app, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are accepting these Terms on behalf of an organization, agency, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case “you” and “your” refer to that entity.
If you do not agree to these Terms, do not create an account or use the Service.
UrbanPlanning.app is a web-based project management platform designed for urban planning professionals. The Service provides tools for project tracking, environmental review management, plan check tracking, invoicing and payment processing, client portal access, internal chat communication, file linking, zoning lookup, GIS mapping, and related collaboration features. The Service is provided as a Software-as-a-Service (SaaS) platform hosted by Vercel and powered by Supabase for data storage and authentication.
You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you are at least 18 years old and that the information you provide during registration is accurate, current, and complete.
When you create an account, you agree to provide accurate and complete information including your full name, email address, and professional role. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You agree to notify us immediately at support@urbanplanning.app if you become aware of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that contain false or misleading registration information.
All plans include a 14-day free trial with full access to all features available under the selected plan tier. No payment is required to start a free trial. Your payment method will not be charged until day 15. At the end of the trial, if you do not subscribe to a paid plan, your account will switch to read-only mode. No data will be deleted.
The Service is offered under four subscription tiers: Starter ($49/mo — 3 active projects, 2 team members), Professional ($129/mo — 15 active projects, 10 team members), Department ($299/mo — 50 active projects, 25 team members), and Enterprise ($599/mo — unlimited projects, unlimited team members). Specific features, pricing, and limits for each tier are listed on our pricing page and may be updated from time to time with reasonable notice.
Subscriptions are billed monthly or annually through Stripe, Inc. We do not directly collect, store, or have access to your credit card or payment instrument details. Your use of Stripe and Stripe Link is subject to Stripe's own terms and privacy policy.
You may cancel your subscription at any time from your account settings. Upon cancellation, your account remains active through the end of the current billing period (monthly or annual). No further charges will be made after cancellation.
Monthly plans: No refunds. Cancel anytime and retain access through the end of your billing cycle.
Annual plans: Full refund available within 14 days of purchase. After 14 days, no refunds are issued. Cancel anytime and retain access through the remainder of your annual term.
Refund requests for annual plans must be submitted within 14 days of the charge date by contacting support@urbanplanning.app. Refunds are processed back to the original payment method within 5–10 business days.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service to upload, transmit, or share content that is unlawful, defamatory, harassing, threatening, or otherwise objectionable; to impersonate any person or entity or misrepresent your affiliation with any person or entity; to interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure; to attempt to gain unauthorized access to any part of the Service, other accounts, or systems connected to the Service; to use the Service to transmit viruses, malware, or other harmful code; to scrape, crawl, or harvest data from the Service through automated means without our written consent; or to resell, sublicense, or redistribute access to the Service without our prior written approval.
We reserve the right to suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated these terms.
You retain full ownership of all content, data, files, and materials that you upload, create, or share through the Service (“User Content”). By using the Service, you grant us a limited, non-exclusive, worldwide license to host, store, display, and transmit your User Content solely as necessary to provide and operate the Service. This license terminates when you delete your content or close your account.
You are solely responsible for the accuracy, legality, and appropriateness of all User Content. We do not review, verify, or endorse User Content. When you share project access with clients through the Client Portal, you are responsible for ensuring that the information shared is appropriate and that you have the necessary rights to share it.
You may export your data at any time. Upon written request to support@urbanplanning.app, we will provide your data in a standard, machine-readable format within 30 days.
The Service allows account holders to invite clients and collaborators to view project information, upload documents, and communicate through the internal chat feature. As the account holder, you are responsible for managing who has access to your workspace, ensuring that shared project data does not violate any confidentiality obligations you may have to third parties, and informing your clients that their use of the portal is subject to these Terms and our Privacy Policy. Clients who access the portal through your invitation are bound by these Terms.
The Service integrates with third-party services including Stripe, Google Drive, Dropbox, QuickBooks Online, Esri/ArcGIS, and GIS/Leaflet mapping tools. Your use of these third-party services is governed by their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service. Google Drive and Dropbox links shared within the platform are stored as text references only. We do not access, download, or process the contents of files stored in your external storage services. You may disconnect integrations at any time.
All rights, title, and interest in and to the Service — including its design, code, branding, logos, documentation, and all associated intellectual property — are and remain the exclusive property of Do You Need One, LLC. Nothing in these Terms grants you any right to use our trademarks, trade names, or branding without prior written consent. The “UrbanPlanning.app” name, logo, and associated branding are the property of Do You Need One, LLC.
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We strive for 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice when possible. The 99.9% uptime SLA referenced on our website is a commercially reasonable target and not an absolute guarantee.
THE SERVICE PROVIDES TOOLS FOR MANAGING URBAN PLANNING WORKFLOWS. IT DOES NOT PROVIDE LEGAL, ZONING, ENVIRONMENTAL, OR REGULATORY ADVICE. ZONING CODES, ENVIRONMENTAL REVIEW CHECKLISTS, PARCEL DATA, AND OTHER REFERENCE INFORMATION PRESENTED THROUGH THE SERVICE ARE PROVIDED FOR INFORMATIONAL AND ORGANIZATIONAL PURPOSES ONLY. USERS ARE SOLELY RESPONSIBLE FOR VERIFYING THE ACCURACY OF ANY DATA AND FOR MAKING INDEPENDENT PROFESSIONAL JUDGMENTS. DO YOU NEED ONE, LLC SHALL NOT BE LIABLE FOR ANY DECISIONS MADE OR ACTIONS TAKEN IN RELIANCE ON INFORMATION PROVIDED THROUGH THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DO YOU NEED ONE, LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless Do You Need One, LLC and its officers, directors, members, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your User Content, your violation of these Terms, or your violation of any third-party rights.
We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. You may terminate your account at any time by canceling your subscription and contacting support@urbanplanning.app to request account deletion. Sections 7.1 (Your Content ownership), 10 (Intellectual Property), 11 (Disclaimer), 12 (Limitation of Liability), 13 (Indemnification), and 15 (Governing Law) shall survive termination of these Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this page and notify you by email or through a prominent notice within the Service. Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Do You Need One, LLC regarding the use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
